Portal Terms of Use

Effective August 10, 2023 · Last updated August 10, 2023

These terms govern use of the CalFlow 360 service request portal at calibrate.driveflowos.com. They apply to the shop submitting a request and to each person who uses an access PIN issued to that shop. If a separate signed service agreement exists between CalFlow 360 and your shop, that agreement controls where it conflicts with these terms.

1. Access and your PIN

Portal access is issued only to shops CalFlow 360 has agreed to work with. Your access PIN is confidential. Do not share it outside your shop, and notify us promptly at info@driveflowos.com if you believe it has been disclosed. You are responsible for requests submitted using your PIN. We may change or revoke a PIN at any time.

2. Permitted use

Use the portal only to request calibration, diagnostic, or programming services on vehicles your shop is authorized to submit. Do not use it for automated scraping, load testing, submission of false requests, or any unlawful purpose.

3. Your representations

By submitting a request you confirm that you are authorized to request service on behalf of the shop and to approve the applicable rate, and that the information you provide is accurate to the best of your knowledge. We schedule work, order time, and dispatch technicians in reliance on that information.

4. Estimates are not binding quotes

The total shown on the estimate screen is calculated from the services you selected at our published rates. It is an estimate only. Final scope and pricing are confirmed after inspection of the vehicle and verification of the applicable OEM procedure. Additional systems discovered during inspection, diagnostic time beyond the first hour, and wire repair beyond four wires are billed at the rates then in effect.

5. Recommendations are advisory only

The portal may display recommended calibrations based on repair information you provide or on an uploaded estimate. Those recommendations are generated by matching described repairs against general repair-to-system associations and against OEM reference material licensed to CalFlow 360. They are offered to assist your review and are not a determination that a calibration is or is not required for a specific vehicle.

The absence of a recommendation does not mean no calibration is required. Final determination of required calibrations rests with the technician performing the work, applying the current OEM service procedure for the specific vehicle. Nothing in the portal replaces OEM procedures or technician judgment.

6. Vehicle readiness, access, and dispatch charges

You are responsible for presenting the vehicle in a condition that allows calibration to proceed: body and structural repairs complete, wheel alignment performed where required, tires and suspension to specification, adequate fuel, and keys available. Where a calibration requires controlled space or level floor, the vehicle may need to be transported to our calibration bay.

Once CalFlow 360 accepts a service request, technician time is reserved for that job. If our technician arrives and the vehicle is unavailable, inaccessible, not ready to be worked on, or the requested work has been completed or assigned to another company, the shop will be charged a minimum of one hour of labor at the rate then in effect. This charge does not apply when the shop cancels the request before CalFlow 360 accepts it.

7. Scheduling

We answer and schedule every request within 24 hours during business hours (Monday–Friday, 9 AM–5 PM). That is a response commitment, not a guarantee of a completion date. Completion depends on vehicle readiness, parts, OEM procedure requirements, and conditions such as weather for road-driven calibrations.

8. Documents you upload

Upload only documents you are entitled to share with a service vendor. Handling, transmission, and retention of uploaded files are described in the CalFlow 360 Upload & Retention Policy and Privacy Notice, which form part of these terms.

9. Payment

Work is invoiced to the shop at the rate confirmed for the job. Payment is due within 15 calendar days of the invoice date. A one-time late fee equal to 5% of the unpaid balance may be assessed if payment remains outstanding for more than 10 calendar days after the due date, to the extent permitted by applicable law. CalFlow360 may suspend acceptance or performance of additional service requests while an account remains past due. Disputed line items should be raised promptly after receipt of the invoice.

10. Our services and warranty

CalFlow 360 performs calibrations to the applicable OEM procedure using certified technicians and factory-grade targets and tooling, and provides documentation of the work performed. We warrant that services will be performed in a workmanlike manner consistent with those procedures.

We do not warrant the vehicle’s advanced driver assistance systems generally, repairs performed by others, pre-existing conditions, or the continued accuracy of a calibration after subsequent collision, alignment, suspension change, glass work, or other repair.

11. Limitation of liability

Nothing in these terms limits liability that cannot be limited under applicable law.

12. Indemnity

Each party will defend and indemnify the other against third-party claims arising from its own negligence or willful misconduct. You will indemnify CalFlow 360 against claims arising from inaccurate information you supplied, work performed by others, or presenting a vehicle that was not ready as described in section 6.

13. Suspension and termination

We may suspend or terminate portal access at any time, including for non-payment, misuse, or a compromised PIN. Termination does not affect work already performed or amounts already owed.

14. Changes to these terms

We may update these terms and will post the revised version with a new effective date. Continued use of the portal after that date constitutes acceptance. Requests already submitted are governed by the terms in effect when they were submitted.

15. Governing law

These terms are governed by the laws of the State of Texas, without regard to conflict-of-laws rules.
